If you are responsible for evaluating legal technology for your firm, you already know the challenge. There are dozens of tools that claim to handle M&A diligence, contract review, or legal analysis. They use similar language. Their demo decks look similar. And yet, under the surface, they are built for very different purposes.

Some started as contract lifecycle management tools and added a diligence feature. Others are general-purpose legal AI assistants that can answer questions about contracts but cannot produce structured work product. A few are purpose-built for transactional diligence from the ground up.

The distinction matters because your attorneys will know the difference the moment they use it on a real deal. A tool that looks good in a demo but cannot handle amendment chains, produce client-ready memos, or scale to a full data room will create more frustration than value.

Was this built for transactional diligence, or adapted from something else?

General-purpose legal AI and contract management tools can read contracts, but M&A diligence requires purpose-built intelligence. Look for native support for amendment chain tracking, change-of-control analysis, consent requirements, IP assignment gaps, and other M&A-specific provisions. A tool that was built for contract lifecycle management and later marketed for diligence will have fundamental gaps in these areas.

Full Data Room Coverage

Can it review every document, or only the ones you select?

The core promise of a diligence platform is comprehensive coverage. If your team still has to choose which contracts to upload or review, the platform is not solving the fundamental problem. Evaluate whether the platform can ingest an entire data room and analyze every document, regardless of format or volume, without requiring manual selection or pre-processing.

Questions to ask:

  • What is the maximum number of documents it can process at once?
  • Does it handle scanned PDFs, images, and non-standard formats?
  • Can it classify document types automatically, or does the team need to tag them?

Work Product Readiness

Does it produce deliverables attorneys can use, or just raw data?

Extraction without deliverables creates more work, not less. Your attorneys do not need another spreadsheet of findings. They need memos, issue lists, schedules, and checklists that are structured and formatted for client delivery. Evaluate the quality and completeness of the output: can an attorney review and refine it, or do they need to rebuild it from scratch?

Questions to ask:

  • Can it generate diligence memos in your firm's preferred format?
  • Does it produce issue lists with severity ratings and recommendations?
  • Can it populate disclosure schedules directly from analysis?

Source Verification

Can attorneys verify every finding back to the source text?

Trust requires traceability. If an AI surfaces a risk, the reviewing attorney must be able to click through to the exact clause in the original document. Without source-linked citations, attorneys cannot verify findings efficiently and the platform becomes a bottleneck rather than an accelerator. Evaluate whether citations are precise (paragraph-level) or approximate (document-level).

Questions to ask:

  • Are findings linked to specific paragraphs or just to the document?
  • Can attorneys view the source document side-by-side with findings?
  • How does it handle findings that span multiple document sections?

Security and Compliance

Is it built for the most sensitive deals your firm handles?

M&A data rooms contain material non-public information, trade secrets, and privileged communications. The platform handling this data must meet the highest security standards. SOC 2 Type II certification is the baseline, not the ceiling. Evaluate data retention policies, encryption standards, access controls, and whether customer data is ever used for model training.

  • Is the platform SOC 2 Type II certified (not just Type I)?
  • What is the data retention policy after processing?
  • Is customer data ever used for model training or improvement?

Workflow Fit

Does it fit how your attorneys actually work, or require a new process?

Adoption depends on workflow fit. If the platform requires attorneys to change how they do diligence, adoption will stall regardless of the technology. Evaluate whether the platform supports your firm's existing workflows: how documents are organized, how teams collaborate on review, how deliverables are formatted and shared. The best technology fails if no one uses it.

Questions to ask:

  • Can multiple attorneys collaborate on the same matter simultaneously?
  • Does it export to Word and Excel in formats your clients expect?
  • How does it handle document updates mid-deal (supplemental data rooms)?

Proven on Real Deals

Has this been used on actual transactions, or just demos?

Demo environments are curated. Real data rooms are messy. Ask for references from firms that have used the platform on actual M&A transactions, with real timelines and real stakes. Ask about the types and sizes of deals, the document volumes involved, and what the experience was like under deal pressure. A platform that performs well in a controlled demo may not survive the complexity of a live deal.

Questions to ask:

  • Can you share references from firms that used this on live deals?
  • What deal sizes and document volumes have been successfully processed?
  • What is the typical timeline from data room upload to first deliverables?

Structuring a Proof of Concept

Once you have narrowed your evaluation to one or two platforms, a proof of concept on a real deal is the only way to verify performance. Here is how to structure it for meaningful results.

Use a Completed Deal

Run the platform on a deal your team has already closed. You know what should have been found, so you can measure accuracy and coverage against a real baseline.

Track three metrics: what the platform found that your team found (coverage), what it found that your team missed (incremental value), and the time from upload to first deliverables (speed).

Involve the Attorneys

The attorneys who will use the platform daily must be part of the evaluation. Their assessment of workflow fit and output quality is more valuable than any feature checklist.

M&A diligence has unique requirements that general-purpose tools cannot address well. Amendment chain tracking, change-of-control analysis, consent requirement identification, and disclosure schedule preparation are all M&A-specific workflows. A tool built for contract management or general legal research will not handle these natively, and workarounds create friction that erodes adoption.

Run the platform on a recently completed deal where you already know the outcomes. This lets you verify coverage and accuracy against a known baseline. Evaluate on three axes: did it find what your team found, did it find things your team missed, and how much time would it have saved? Avoid synthetic test sets, as they do not reflect real data room complexity.

No. Feature count is misleading. A platform with 50 shallow features will underperform one with 10 deep ones. Instead, evaluate on workflow coverage: can the platform handle your end-to-end diligence process, from document intake through deliverable generation? The best platform is the one your attorneys will actually use on their next deal.

Partners care about three things: speed, quality, and economics. Frame the pilot around a specific recent deal where timing was tight or coverage was incomplete. Show how the platform would have changed the outcome. Use real numbers: hours saved, additional contracts reviewed, delivery timeline improvement. A concrete before-and-after from a deal they remember is more persuasive than any vendor presentation.
